{"id":3281,"date":"2013-05-24T11:32:09","date_gmt":"2013-05-24T15:32:09","guid":{"rendered":"http:\/\/acro.net\/blog\/?p=3281"},"modified":"2013-05-24T11:32:09","modified_gmt":"2013-05-24T15:32:09","slug":"domain-offers-that-come-with-disclaimers-are-invalid","status":"publish","type":"post","link":"https:\/\/acro.net\/blog\/domain-offers-that-come-with-disclaimers-are-invalid\/","title":{"rendered":"Domain offers that come with disclaimers are invalid"},"content":{"rendered":"<p>It&#8217;s a very simple argument, really: don&#8217;t make an offer on a domain, that is tied to some silly disclaimer.<\/p>\n<p>Most lawyers will tell you that an offer on paper &#8211;<em> real or virtual<\/em> &#8211; is a binding offer.<\/p>\n<p>Want to invalidate such an offer? Accompany it with some made-up mumbo-jumbo that seeks various conditions to be met, or the offer does not stand.<\/p>\n<p>The fact is, that by making such a silly requirement, your offer must be rejected, regardless of the obscurity of its side clause as it&#8217;s <em>de facto<\/em> invalid.<\/p>\n<p>Here&#8217;s a real world example, from my seemingly endless list of domain anecdotes.<\/p>\n<p>An apparently dejected individual, inquired about my rights to own a domain, up for sale at <a href=\"http:\/\/internettraffic.com\" target=\"_blank\"><strong>Domain Name Sales<\/strong><\/a>. He then &#8216;pinged&#8217; the reserve, offering first $11 and then $3,011 that surpassed\u00a0 my selling threshold. Only then, he added this disclaimer to the offer:<\/p>\n<blockquote><p><em>&#8220;&#8230;this offer is legally subject to the sellers ownership and details being submitted to the possible purchaser without obligation&#8230;&#8221;<\/em><\/p><\/blockquote>\n<p>I promptly rejected the offer, explaining that while I do own the domain, his offer was invalidated by this prerequisite condition. Adding &#8220;without obligation&#8221; at the end, further made the offer obnoxiously invalid.<\/p>\n<p>Such arguments often hide a secret agenda, such as the person challenging key facts of domain ownership. You can also completely ignore such inquiries, but it&#8217;s best to keep your responses clear, to the point <a href=\"http:\/\/acro.net\/blog\/domains\/went-to-hell-and-effed-myself-on-the-same-weekend\/\" target=\"_blank\"><strong>and most importantly, polite.<\/strong><\/a><\/p>\n<p>TGIF!<\/p>\n","protected":false},"excerpt":{"rendered":"<p>It&#8217;s a very simple argument, really: don&#8217;t make an offer on a domain, that is tied to some silly disclaimer.
